Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you" or "User") and [Forkpage / your legal entity name — TO BE CONFIRMED] ("Forkpage," "we," "us," or "our"), governing your access to and use of the Forkpage website, application, and related services (collectively, the "Service"), available at forkpage.io and forkpage-production.up.railway.app.

By creating an account, signing in (including via Google sign-in), or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Forkpage allows users to "fork" (copy and reconstruct) publicly accessible webpages into editable HTML and Tailwind CSS, which users may then customize, host, or export ("Forked Output"). The Service uses automated tools, including headless browser technology, to retrieve and reconstruct the structure, styling, and content of a page a user submits.

Forkpage is a tool. It does not review, approve, or endorse the pages users choose to fork, and it is not a party to any relationship between a user and the owner of a forked page.

2. Eligibility and Accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. You must provide accurate registration information and are responsible for maintaining the confidentiality of your account credentials, including when signing in via Google OAuth. You are responsible for all activity that occurs under your account. Notify us immediately at support@forkpage.io of any unauthorized use.

3. Subscriptions, Fees, and Billing

Certain features of the Service require a paid subscription, billed and processed through Stripe. By subscribing, you authorize us (via Stripe) to charge your chosen payment method on a recurring basis (e.g., monthly or annually) until you cancel.

4. Acceptable Use — Forking Content Responsibly

Forking a page you do not own or control carries real legal risk (copyright, trademark, and in some cases computer-fraud or contract-law exposure), and you are solely responsible for how you use the Service. By using Forkpage, you agree that you will only fork a page if at least one of the following is true:

We may, at our discretion, block specific domains or categories of pages (for example, known login pages, payment pages, or common phishing targets) and may implement automated safeguards to reduce the risk of misuse. We may investigate and take action — including disabling Forked Output, suspending accounts, and terminating access — for suspected violations of this section.

Reporting misuse or infringement: If you believe content forked through Forkpage infringes your rights or that your site has been cloned improperly, contact us at copyright@forkpage.io with the URL of your original page and a description of the issue, and we will review and take appropriate action, which may include disabling the associated Forked Output.

5. Ownership of Forked Output and Your Content

As between you and Forkpage, you own the edits, customizations, and final Forked Output you create using the Service, to the extent you have the legal right to do so. We claim no ownership over your Forked Output.

This ownership is subject to the underlying rights of any third party whose original page content (text, images, code, design) is reflected in that Forked Output. Forkpage does not grant you, and cannot grant you, any rights in a third party's original content — using or publishing Forked Output that incorporates another party's protected content without permission remains your responsibility and your legal risk, not ours.

You grant Forkpage a limited, non-exclusive, worldwide license to host, store, process, and display your account content and Forked Output solely as necessary to operate, maintain, and improve the Service.

6. Intellectual Property in the Service

Forkpage and its licensors own all right, title, and interest in the Service itself, including its software, design, branding, and underlying technology (excluding your Forked Output and account content). You may not copy, modify, reverse-engineer, decompile, resell, or create derivative works of the Service or its underlying code, except as expressly permitted by law.

7. Third-Party Sign-In

The Service allows you to sign in using Google OAuth. Your use of Google sign-in is also subject to Google's own terms and privacy policy. We receive only the account information Google shares with us for authentication purposes (such as your name and email address).

8. Disclaimers

THE SERVICE AND ANY FORKED OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT FORKED OUTPUT WILL BE ACCURATE, COMPLETE, LAWFUL TO USE, OR FREE OF THIRD-PARTY RIGHTS, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORKPAGE AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF THE SERVICE OR ANY FORKED OUTPUT — INCLUDING ANY THIRD-PARTY CLAIM ARISING FROM CONTENT YOU FORKED. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Forkpage and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) any page you chose to fork and any resulting Forked Output; (c) your violation of these Terms; or (d) your violation of any third party's rights, including intellectual property rights.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, created legal risk for Forkpage or third parties, or for any other reason at our discretion, including discontinuing the Service. Upon termination, your right to use the Service ends immediately; sections of these Terms that by their nature should survive (including Sections 5, 6, 8, 9, 10, and 13) will survive.

12. Changes to the Service or These Terms

We may modify or discontinue any part of the Service at any time. We may update these Terms from time to time; material changes will be notified via the Service or by email, and will take effect on the date stated in the update. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [New York — CONFIRM], without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in [New York — CONFIRM], and you consent to the personal jurisdiction of those courts.

14. Miscellaneous

You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms constitute the entire agreement between you and Forkpage regarding the Service and supersede any prior agreements.
